Welcome to the Digital Manufacturing Commons (“DMC”) Members Web Platform (“Web Platform”). By clicking to indicate your acceptance of these Members Terms & Conditions (“Members Terms”), you agree to abide by these Members Terms and the DMC Terms of Use when you access or use the Web Platform, which is owned and operated by UI LABS (“UI LABS,” or “we”). These Members Terms supplement and amend the DMC Terms of Use, specifically indicated and only to the extent necessary to govern your use of the Web Platform - this means that you are at all times also subject to the DMC Terms of Use. Capitalized terms not defined in these Members Terms will have the same meaning as in the DMC Terms of Use. In the event of a conflict between these Members Terms and the DMC Terms of Use, these Members Terms will govern with respect to your use of the Web Platform.

UI LABS reserves the right to change or modify these Members Terms from time to time. If we make changes, we will provide you with notice of such changes, such as by sending an email notification, providing notice through the Web Platform or updating the “Last Updated” date at the beginning of these Members Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued access to and use of our Web Platform after we provide notice will confirm your acceptance of these changes. If you do not agree to the revised Members Terms, you must stop accessing and using the Web Platform.

1. Web Platform Services

UI LABS provides the Web Platform for the exclusive use of organizations and the organizations’ users signing up to become members of the online collaboration community (“Members”). The Web Platform enables Members to collaborate and communicate with each other, and provides Members access to certain content that is not available to non-Members.

2. Eligibility and Opt-out Choices

By signing up to be a Member, you represent and warrant that you meet the eligibility requirements specified in Section 3 of the DMC Terms of Use. Your membership is not guaranteed and is subject to approval or disapproval from your employer or the organization you represent (“Affiliated Organization”) or us.

In addition, membership is optional. If you elect to become a Member, you can later opt out being a Member at any time by contacting us as askdmc@uilabs.org.

3. Account and Administrator or Member Status

3.1 AccountWhen you sign up to be a Member, you will need to register for a Member account that is tied to your Affiliated Organization. In order to complete your Account creation, the Affiliated Organization you designate will need to verify your affiliation. Please see our FAQs for more information. Your Member account under these Member Terms will be governed by Section 4 of the DMC Terms of Use.

3.2 Administrator or Member Status: If you are the first person from your Affiliated Organization who becomes a Member, you may be automatically designated as the administrator of your Affiliated Organization. UI LABS reserves the right to adjust your status as an administrator or a Member at any time, with or without notice to you. If you are designated as an administrator of an organization, you agree to promptly respond to any affiliation verification requests.

4. License to Web Platform

The Web Platform is included in the Services and is governed by Section 5.1 of the DMC Terms of Use.

5. Collaboration; Members Conduct; Copyright Complaints

Any User Content you upload, post, or share on the Web Platform as well as your conduct on the Web Platform is governed by Sections 7 (User Content) and 8 (Prohibited Conduct and Content) of the DMC Terms of Use. Furthermore, in acknowledgment of the collaborative purpose of the Web Platform, you also agree that you will not use the Web Platform or any of its features, including, but not limited to the Members directory to solicit employment.

In addition, our DMCA policy, Section 9 of the DMC Terms of Use, will also apply to all copyright infringement complaints.

6. Feedback

Feedback under these Members Terms will be governed by Section 7 of the DMC Terms of Use.

7. Indemnification

You agree to indemnify, defend, and hold harmless UI LABS and the UI LABS Parties from and against any loss, liability, claim, demand, damages, expenses or costs (including, but not limited to, reasonable attorneys’ fees) ("Claims") arising out of or related to (a) your access to or use of the Web Platform, (b) any Feedback you provide, or (c) your violation of these Members Terms. You also agree that you will not seek or receive indemnity for any Claim in which you are a claimant.

8. Modification to the Web Platform

We reserve the right in our sole discretion to modify, suspend or discontinue, temporarily or permanently, the Web Platform or any features or parts thereof at any time with or without notice to you.

9. Termination

Notwithstanding anything contained in these Members Terms, we reserve the right, without notice and in our sole discretion, to terminate your right to access or use the Web Platform, at any time and for any or no reason, and you acknowledge and agree that we will have no liability or obligation to you in such event. Termination of the Members Terms or your access to Web Platform, will not, by itself, terminate your right to access or use the Services.

10. Severability

If any term, clause or provision of these Members Terms is held invalid or unenforceable, then that term, clause or provision will be severable from the balance of these Members Terms and will not affect the validity or enforceability of any remaining part of that term, clause or provision, or any other term, clause or provision of these Members Terms.

11. Survival

The following sections of these Members Terms will survive the expiration or termination of these Members Terms, the DMC Terms of Use, and the termination of your Members account: all defined terms and Sections 6-11.
